Title: Sharing Health Link-Based
Intellectual Property (this policy is used
by UWHC and UWMF)


I. PURPOSE

This policy outlines the characteristics of Health Link clinical and/or technical content
deemed to be intellectual property and establishes guidelines for determining whether to
share such intellectual property (defined as protected Health Link content) with Epic and
other customers of Epic.

II. SCOPE

This policy applies to all requests to share intellectual property deemed to be protected
Health Link clinical and/or technical content with Epic or Epic customers. This policy
does not govern sharing of content in presentations, publications, or other venues
(including Epic staff or Epic customer visits to UW Health facilities). Presentation of
content in those circumstances should be reviewed by the relevant IS leaders and a
decision made about the appropriateness of subsequent sharing, recognizing the local
customer discount provided by Epic to UW Health.

III. DEFINITIONS

Intellectual Property: A work or invention that is the result of creativity, such as a
manuscript or a design, to which one has rights and for which one may apply for a
patent, copyright, trademark, etc.
Protected Health Link Content: Any intellectual property developed at UW Health and
built directly into Health Link that guides or informs the way in which patient care is
delivered by UW Health, and that could be implemented by other Epic customers.

IV. POLICY

A. Request Handling

1. Requests by Epic and other Epic customers for sharing of clinical and technical
content built in Health Link are evaluated by the UW Health Center for Clinical
Knowledge Management (CCKM), in collaboration with other departments and
UW Health leaders.
2. If content is determined to be intellectual property, CCKM and collaborators
decide if it is in the best interest of UW Health to share that content.
3. Content will not be shared unless and until approval is granted by CCKM.

B. Determining if Content is UW Health Intellectual Property

The following conditions are considered when deciding if specific Health Link content
is UW Health intellectual property under this policy:

1. Content that is derived by UW Health personnel (faculty and staff) from
primary, secondary, and tertiary biomedical literature sources, incorporating
local expert opinion, resulting in content that is unique to UW Health.
2. Derivative works drawing from relevant external sources, but modified
significantly, resulting in content that is unique to UW Health.
3. Programming that creates unique functionality not available to all Epic
customers, relying on local evaluative and design work.

C. Determining Whether to Share Protected Health Link Content

The following considerations are taken into account when deciding to share
protected Health Link content with Epic and other Epic customers:

1. Content is generally shared unless the content supports care in a particularly
competitive area, in which UW Health participates.
2. Content that UW Health leverages to achieve competitive advantages over
other providers (locally, regionally, and/or nationally) generally is not shared.
For example, questionnaire templates used for e-visits are protected Health
Link content that would not typically be shared, as the e-visit program is
leveraged by Unity and UW Health as something that distinguishes Unity and
UW Health from other competing insurers.
3. The nature of the relationship between UW Health and potential competitors
who request protected Health Link content is informed by the senior
leadership of UW Health; in particular, service line directors, leadership of
University Health Care, and others.
4. Content is shared freely with organizations in which UW Health entities have
formal partnership relationships.

D. Sale of Protected Health Link Content

The sale of protected Health Link content may be considered if a value can be
placed on the content and the revenue from its sale would offset the competitive
advantage that is lost when sold to another organization. If content is to be sold,
Legal Services must be consulted to draft a transfer agreement that specifies the
responsibilities of both UW Health and the purchaser of our content.

VII. OTHER

UW Health is not a legal entity. UW Health comprises three separate entities. This policy
applies to facilities and programs operated by the University of Wisconsin Hospitals and
Clinics Authority and the University of Wisconsin Medical Foundation, Inc.

Each entity is responsible for enforcement of this policy in relation to the facilities and
programs that it operates.

VIII. COORDINATION

coordination of this policy by those entities occurs per their individual processes.
